Having acted for car dealers for almost two decades Sotheary is passionate about the automotive industry and supporting dealers to obtain better outcomes in their relationships with distributors. She is an expert in the automotive industry and is a preferred lawyer for leading automotive organisations and dealer councils.

  • Mergers and acquisitions including due diligence, structure(s) and terms of sale or acquisition to protect and optimise deal outcomes.
  • Advising on claims relating to early termination or non-renewal of dealer agreements including managing disputes arising under the Australian Consumer Law and Franchising Code of Conduct (Code).
  • Review of dealer agreements and supporting negotiations with the distributor to ensure compliance with the Code and a better-balanced franchising relationship.
  • Commercial contracts and arrangements including property leasing and licence contacts, shareholder agreements and buy sell option deeds, trading documents (such as terms and conditions and associated PPS Act advice).
  • Corporate matters and transactions including share subscriptions, share buy-backs and cancellations, and financial assistance transactions.
