Leisa Bayston

With a lifetime of experience across some of the most technical aspects of commercial law and financial management, Leisa is uniquely placed to advise in the start-up space. With her integrated approach and exceptional instinct for risk, she gives innovators the tools to bring big ideas to life.

After kick starting her career in corporate tax with “big four” consulting firms, Leisa moved into funds management. She was then a senior lawyer in the commercial division of a major law firm before spending 5 years in-house at Macquarie Bank. Never content with received knowledge or the well-trodden path, she then went on to set up a successful boutique commercial practice in Melbourne with her life and business partner, Alister.

Running her own practice was the culmination of decades of learned experience in the commercial space, which ignited Leisa’s passion for working with start-ups. Drawing on the lessons of the past, she started working with founders in the technology sector, building them the legal foundations for success before guiding them through the full start-up lifecycle, from growth and scaling to eventual exit.

Leisa has many proud achievements, and they all have one thing in common. They are circumstances where a client has found themselves in a difficult and often complex situation and she has been able to use her problem-solving skills, legal knowledge, and tenacity to get the desired result.

Experience
  • Advised on and documented a $30 million fundraising round for a business in the Healthcare sector.
  • Managed the day-to-day legal risk of businesses big and small in all sectors through drafting effective contracts, including customer contracts, supplier contracts, commercial leases, contractor agreements, joint venture agreements and shareholders agreements.
  • Acted for the Purchaser of hospitality franchise business consisting of 24 franchises nationwide.
  • Provided advice, support and advocacy assistance to valued clients navigating the COVID Rental Relief Regulations, including attending VSBC Mediations.
  • Advised a technology company at the forefront of the drone area on intellectual property issues, as well as mechanisms for minimizing legal liability in this fast-moving area.
  • Assisting a start-up in the online mental health space put together ambassador agreements, members terms and conditions as well as advice on licensing intellectual property.
  • Developed a software as a Service (SaaS) Licensing Agreement for technology company making waves in the renewable energy market.
