• Mergers and acquisitions including due diligence, structure(s) and terms of sale or acquisition to protect and optimise deal outcomes.
• Advising on claims relating to early termination or non-renewal of dealer agreements including managing disputes arising under the Australian Consumer Law and Franchising Code of Conduct (Code).
• Review of dealer agreements and supporting negotiations with the distributor to ensure compliance with the Code and a better-balanced franchising relationship.
• Commercial contracts and arrangements including property leasing and licence contacts, shareholder agreements and buy sell option deeds, trading documents (such as terms and conditions and associated PPS Act advice).
• Corporate matters and transactions including share subscriptions, share buy-backs and cancellations, and financial assistance transactions.
